Board Meeting: Saturday March 6, 2004
Old Business
- Financial update:
- Approximate Cash Balance = $767.97
- CCAA Endowment Fund =$200.00
- Final Cost of "Call to Action" Mailing = $0.00
- New Dues and Donations = $80.00
- Approximate Current Cash Balance = $847.97 (+$200 endowment)
- Current membership = 49 people, including free 2003 staff memberships.
- No new T-shirt sales to report; approximately 20 T-shirts left.
New Business
- Moved the 2004 Work Weekend/Annual Members Meeting date up one week
(from 06/17-06/18/04) to 06/10-06/11/04, to coincide with OA work weekend and camp schedule. Schedule of events during weekend tentatively to remain the same.
- Quite a bit of discussion, updating, and sharing of information regarding sale of 163 acres at Camp Cuyuna. CCAA "Call to Action" letter sent on 02/08/04. CCAA response to Mankato Free Press Article sent on 02/19/04. Several board members will attend the meeting in Madelia on Sunday, 3/7/04 and represent the CCAA. The plan is to try to just listen at the meeting, see what members of the TVC have to say, and provide information and assistance as requested and appropriate.
- Next correspondence will be a simple letter instead of the planned Spring Newsletter. The letter will briefly cover the topics normally covered in the newsletter, including financial status, membership, board decisions, etc., but the main focus of the letter will be an update on the status of the land sale at Cuyuna. Goal is to have the letter sent out the week of March 22nd. Plan to do a hard copy mailing to all former Cuyuna staff in database who have a current mailing address, and send an e-mail to all staff who have current e-mail addresses, notifying them that an update letter has been mailed out and pointing them to the CCAA website for the letter (won't attach a copy of the letter to the e-mail as they'll be getting a hard copy in the mail and/or can get it from the website).
- Next CCAA board meeting to be on Saturday, March 13, 2004; from 4:00 to 6:00 PM at Jake's stadium pizza in Mankato, MN.
- Voted and unanimously approved a second amendment to the CCAA Articles of Association. Under Amendment 2, the CCAA will officially take on non-profit status and become a separate non-profit organization that is associated with, but no longer part of, the Twin Valley Council. This affects Articles 2, 3, and 4.

- To promote social activities for the members of the Association as to sponsor fellowship among former and current staff members of Camp Cuyuna.
- To disseminate information about the members and Camp Cuyuna by means of such devices as mailing lists, newsletters and updates to encourage communications between members and keep members informed about the current status of Camp Cuyuna.
- To be of service and support to Camp Cuyuna as deemed appropriate by the members of the Association and the Twin Valley Council.

The CCAA shall be a non-profit organization that is associated with, but not part of, the Twin Valley Council, Boy Scouts of America. The Association shall have all powers necessary to accomplish its purposes under these Articles.
- Voted and unanimously approved a third amendment to the CCAA Articles of Association. Under Amendment 3, the CCAA will remove its funds from the Twin Valley Council bank account and deposit the funds in a new bank account that the CCAA will create, using the name "Camp Cuyuna Alumni Association". This affects Article 7.
Article 7

FINANCIAL MATTERS
- CCAA Funds.
All dues, contributions, and other funds received by the Association will be deposited into the bank account of the Twin Valley Council. The Association will receive periodical accounting reports from the Twin Valley Council regarding its account balance.
- Expenditures.
The Association will have the right to spend for its authorized purposes the entire amount in its account with the Twin Valley Council, minus a reserve for its outstanding debts. To make any expenditure of such Association funds, a Twin Valley Council check requisition must be signed by (a) the Association president or treasurer and (b) one of the authorized check requisition signers of the Twin Valley Council. The Twin Valley Council will then issue a check from the CCAA's account.

- CCAA Funds.
All dues, contributions, and other funds received by the Association will be deposited into the bank account of the Camp Cuyuna Alumni Association.
- Expenditures.
To make any expenditure of Association funds, two authorized signatures will be required on an official check from the Camp Cuyuna Alumni Association bank account. Authorized check signers will be (a) any member of the CCAA board of directors and (b) any designee approved by the CCAA board of directors (for example, the Camp Cuyuna Ranger, Camp Director, Program Director, or a CCAA volunteer).
- Discussion about CCAA website. Website currently hosted on Bill Groskreutz's personal web page (with a few pages of pictures still on the TVC site). Voted and unanimously approved to keep the CCAA website on Bill's website for the time being and reimburse Bill for any overage fees. A report on long-term options for the website will be presented at a future board meeting for discussion and a decision on a long-term solution.
- Brief discussion about "Honorary" CCAA Membership. Do not want to forget about this important initiative. Goal is to still come up with a proposed amendment for discussion an approval at the 2004 Annual Members Meeting.
Action Items
- Doug Raney to request all CCAA funds from Twin Valley Council.
- Update letter to all former Cuyuna staff to be sent out the week of 03/22/04.
